These Terms of Service (“Terms”) govern your access to and use of cloudnineclothing.ca and any purchase from Cloud Nine (“Cloud Nine,” “we,” “us,” or “our”). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility and acceptable use

You must be the age of majority in your jurisdiction or use the Site with the permission of a parent or legal guardian. You may use the Site only for lawful purposes and in accordance with these Terms.

You must not misuse the Site, interfere with its security or operation, introduce malicious code, scrape or collect information without authorization, impersonate another person, infringe intellectual-property or privacy rights, or use the Site for fraudulent or unlawful activity.

2. Store platform

Our store is hosted by Shopify, which provides the ecommerce platform used to offer our products and services. Your use of Shopify-supported features may also be subject to Shopify’s applicable terms and privacy practices.

3. Product information

We make reasonable efforts to describe products accurately and display colours and images faithfully. Screens and lighting may cause colours to appear differently. Product descriptions, availability, specifications, and pricing may change without notice.

Unless expressly stated otherwise, product statements describe design, comfort, materials, or intended use and are not medical advice or a guarantee of a particular health outcome.

4. Orders

Your order is an offer to purchase. We may accept, decline, limit, or cancel an order for legitimate reasons, including inventory errors, pricing errors, suspected fraud, payment problems, shipping restrictions, or unauthorized resale. If we cancel an order after payment, we will refund the cancelled amount to the original payment method.

You are responsible for providing complete and accurate billing, shipping, and contact information and for promptly updating us before fulfillment if a correction is needed. An order confirmation does not guarantee acceptance or shipment.

5. Prices, payments, and taxes

Prices are displayed in the currency shown on the Site and may change without notice. Applicable shipping charges and taxes are shown at checkout. International customers may be responsible for duties, customs charges, taxes, and brokerage fees as described in our Shipping Policy.

You authorize us and our payment providers to charge the payment method selected at checkout for the amounts shown. We do not directly store complete payment-card details.

6. Promotions

Discounts, promotional codes, gifts, and special offers are subject to their stated conditions and availability. Unless stated otherwise, offers cannot be combined, transferred, redeemed for cash, or applied retroactively. We may correct or cancel a promotion affected by fraud, abuse, or an obvious error, subject to applicable law.

7. Shipping, returns, and refunds

Order processing, tracking, delivery estimates, duties, transit issues, and optional Shipping Protection are governed by our Shipping Policy.

Returns, exclusions, damaged or incorrect items, exchanges, and refunds are governed by our Refund Policy. Nothing in these Terms limits mandatory consumer rights.

8. Optional tools and third-party services

The Site may include services, applications, payment methods, links, or tools provided by third parties. We do not control third-party services and are not responsible for their independent content, availability, or practices. Review their applicable terms before using them.

9. Reviews, feedback, and submissions

If you submit a review, photo, comment, suggestion, or other content, you confirm that you have the right to provide it and that it is accurate, lawful, and does not violate another person’s rights. You grant Cloud Nine a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish, and display that content for operating, improving, and promoting our business, subject to applicable privacy law.

We may remove content that is unlawful, misleading, abusive, infringing, or otherwise violates these Terms.

10. Intellectual property

The Site and its content—including text, graphics, logos, product designs, photographs, videos, and software—are owned by or licensed to Cloud Nine and protected by applicable intellectual-property laws. You may use the Site for personal, non-commercial shopping purposes. No other use is permitted without prior written authorization.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy.

12. Site availability and errors

We may correct errors, update information, or modify or discontinue Site features. We do not guarantee that the Site will always be uninterrupted, secure, or error-free. We will not cancel or alter an accepted order because of an error except as permitted by applicable law.

13. Disclaimers

To the fullest extent permitted by law, the Site is provided “as is” and “as available.” We disclaim warranties not expressly stated in these Terms, but we do not exclude warranties, guarantees, or remedies that cannot lawfully be excluded, including mandatory consumer protections.

14. Limitation of liability

To the fullest extent permitted by law, Cloud Nine and its directors, employees, affiliates, agents, and service providers will not be liable for indirect, incidental, special, punitive, or consequential loss arising from use of the Site or products. Nothing in these Terms excludes liability that cannot legally be excluded, including liability for fraud, wilful misconduct, or mandatory consumer remedies.

15. Indemnity

To the extent permitted by law, you agree to indemnify Cloud Nine against third-party claims arising from your unlawful misuse of the Site or your material breach of these Terms. This provision does not apply to the extent a claim results from Cloud Nine’s own conduct.

16. Severability and waiver

If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of it.

17. Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without depriving you of mandatory protections available in your place of residence. Any dispute will be handled by courts with lawful jurisdiction.

18. Changes to these Terms

We may update these Terms by posting a revised version on the Site. Changes apply prospectively from the posted effective date and do not alter rights relating to orders already placed unless required by law.
